Terms and Conditions of Phone City B.V.

1. Definitions

In these Terms and Conditions the following definitions apply:

Seller: Phone City B.V., the party offering products for sale.

Buyer: the person or company purchasing products from the Seller.

Products: the goods offered and supplied by the Seller.

Agreement: the contract between Seller and Buyer regarding the sale of Products.

2. Applicability

2.1 These Terms and Conditions apply to all offers, orders and agreements between Seller and Buyer concerning the sale and delivery of Products.

2.2 Deviations from these Terms and Conditions are only valid if explicitly agreed in writing.

3. Offers and Formation of the Agreement

3.1 All offers are non-binding and subject to availability.

3.2 The Agreement is concluded once the Seller confirms the Buyer’s order in writing or electronically.

3.3 The Seller reserves the right to refuse orders or deliveries without stating reasons.

4. Prices and Payment

4.1 All prices are in euros, excluding VAT and other government charges unless stated otherwise.

4.2 Prices are based on rates applicable at the time of ordering. The Seller reserves the right to adjust prices due to cost changes.

4.3 Payment must be made according to the agreed payment terms. Unless otherwise agreed, payment is due within 14 days from invoice date.

4.4 In case of late payment, the Seller is entitled to charge statutory interest and collection costs.

5. Delivery and Risk

5.1 Delivery times and estimated delivery dates are indicative and non-binding unless explicitly agreed otherwise.

5.2 Risk of loss or damage transfers to the Buyer upon delivery or collection.

5.3 The Seller may deliver Products in parts and invoice them separately.

6. Returns and Cancellation

6.1 Cancellations or returns are only accepted if explicitly agreed and in accordance with the Seller’s return policy.

6.2 Returned products must be in original condition and packaging unless defective.

6.3 Custom or special orders are non-returnable unless defective.

7. Warranty and Liability

7.1 The Seller guarantees that Products comply with agreed specifications and are free from manufacturing defects at delivery.

7.2 Warranty claims must be reported within the applicable warranty period.

7.3 The Seller’s liability is limited to replacement, repair, or refund of defective Products.

7.4 The Seller is not liable for indirect damages, lost profits, or consequential damages.

8. Complaints

8.1 Complaints regarding Products or services must be reported in writing within 7 days after delivery.

8.2 The Seller will investigate complaints and respond within a reasonable timeframe.

9. Privacy and Data Protection

9.1 The Seller processes personal data in accordance with applicable privacy legislation.

10. Force Majeure

10.1 The Seller is not liable for failure to fulfill obligations due to circumstances beyond its control, including but not limited to natural disasters, strikes, transport delays, or governmental measures.

11. Governing Law and Disputes

11.1 All agreements between Seller and Buyer are governed by Dutch law.

11.2 Disputes shall be exclusively submitted to the competent court in the district where the Seller is established.
